2. Applicability

These terms apply to every offer, trial period and agreement between Tutelium and the Customer. Deviations only apply if agreed in writing. We expressly reject any purchasing terms of the Customer.

3. Offer, trial period and formation of the agreement

Offers are non-binding. An agreement is formed when the Customer creates an account or takes out a subscription and accepts these terms. We offer a trial period; after it ends, the selected paid subscription begins, unless canceled in time.

4. Account and use

The Customer is responsible for correct use of the platform and for keeping login credentials confidential. The Customer ensures that Users comply with these terms. Misuse, circumventing security or use in violation of the law is not permitted.

5. Pricing, payment and invoicing

Current prices are listed on our pricing page. Subscription fees are billed in advance. Payment is made through the available payment methods. If payment is not made on time, we may suspend access to the platform. Prices may be adjusted; we will notify the Customer of this in advance within a reasonable period.

6. Term and cancellation

Unless otherwise agreed, the subscription can be canceled monthly, effective at the end of the current billing period. Canceling is easy, through your account or by contacting us. Upon termination, we give the Customer the opportunity to export their data; after that, we delete the data in accordance with the data processing agreement.

7. Availability and maintenance

We make every effort to provide high availability, but cannot guarantee uninterrupted access. We may take the platform offline temporarily for maintenance; where possible, we will announce this in advance. Additional service agreements (SLA) may apply for business plans.

8. Customer obligations

The Customer is responsible for the accuracy and lawfulness of the data it enters, and for complying with laws and regulations applicable to its organization. The Customer ensures it is authorized to process personal data of third parties in the platform.

9. Intellectual property

All rights to the platform, the software and Solon belong to Tutelium or its licensors. The Customer receives a non-exclusive, non-transferable right of use for the duration of the agreement. Data entered by the Customer remains the property of the Customer.

10. Data processing and privacy

Tutelium processes personal data in accordance with the privacy policy. For personal data the Customer processes in the platform, Tutelium acts as a data processor; the data processing agreement applies here and forms part of the agreement.

11. AI functionality

Solon supports the Customer with AI-generated proposals and analysis. This output is a tool and not tax, legal or accounting advice. The Customer remains responsible for reviewing and approving entries, reports and decisions. See our responsible AI use policy.

12. Liability

Tutelium is not liable for indirect or consequential damages. To the extent permitted by law, our liability is limited to the amount the Customer paid for the service in the twelve months preceding the damage. This limitation does not apply in cases of intent or willful misconduct by Tutelium.

13. Force majeure

In the event of force majeure (such as outages at suppliers, cyberattacks or government measures), we are not required to fulfill our obligations for the duration of that situation.

14. Changes to the terms

We may update these terms. We will notify the Customer in advance of material changes. Use of the platform after a change takes effect is considered acceptance.

15. Governing law and disputes

These terms are governed by the laws of the United States. Disputes will be submitted to the competent court, unless mandatory law provides otherwise.
